Referral Program Terms

1. Overview

The ZT Pros Referral Program ("Program") allows existing users of the ZT Pros platform (the "Platform") to earn ZT Promotional Credits by referring new customers and Service Providers to the Platform. These Referral Program Terms ("Program Terms") govern your participation in the Program and are supplemental to our Terms of Service.

By participating in the Program, you agree to be bound by these Program Terms. ZT Pros reserves the right to modify, suspend, or terminate the Program at any time, with or without notice.

2. Eligibility

To participate in the Program, you must:

• Be a registered user of the ZT Pros platform in good standing
• Be at least 18 years of age
• Reside in a jurisdiction where the Program is available
• Comply with all applicable laws and regulations regarding referral programs and incentives

ZT Pros employees, officers, directors, and their immediate family members may be excluded from certain Program incentives at ZT Pros's discretion.

3. How the Program Works

3.1 Customer-to-Customer Referrals

When you refer a new customer to the Platform and that referred customer completes their first job through a Service Provider matched on the Platform, you earn a $75 ZT Pros Promotional Credit. The referrer (the person who referred, not the person referred) receives the credit. Credits have no cash value, are non-transferable, never expire, and are for promotional purposes only. Customers may choose how much Promotional Credit to apply per job. When a customer uses Promotional Credit, ZT Pros absorbs the cost — if the credit exceeds the referral fee, ZT Pros pays the contractor the difference. Unlimited referrals allowed.

3.2 Contractor-to-Contractor Referrals

When a Service Provider refers another contractor to the Platform and the referred contractor completes their first job, the referring Service Provider earns a 50% discount on their referral fee for their next completed job. The discount applies to the referring contractor's current loyalty tier rate (e.g., a Trusted contractor at 15% would pay 7.5%; a Diamond contractor at 8.75% would pay 4.375%). Each referred contractor who completes a job equals one 50% discount earned for the referrer's next job. Unlimited referrals allowed.

3.3 Referral Tracking

Referrals are tracked using unique referral codes or links provided through the Platform. The referred party must use your referral code or link during registration for the referral to be attributed to you. ZT Pros's tracking system is the sole method for determining referral attribution.

4. Rewards

There are two distinct referral reward types:

• Customer Referral Reward: $75 ZT Pros Promotional Credit per qualifying customer referral. Credits have no cash value, are non-transferable, never expire, and are for promotional purposes only.
• Contractor Referral Reward: 50% discount on the referring contractor's referral fee for their next completed job. This is not a credit — it is a direct reduction in the referral fee percentage.

Qualifying criteria and program rules are determined by ZT Pros at its sole discretion and are subject to change at any time. Rewards are contingent upon the referred party meeting all qualifying criteria.

Tax Responsibility: You are solely responsible for any tax obligations arising from ZT Promotional Credits you receive. Consult a tax professional for guidance on your specific tax obligations.

5. Program Rules and Restrictions

You agree to the following rules when participating in the Program:

• Honest Representation: You must accurately represent ZT Pros and its services when making referrals. You may not make false, misleading, or exaggerated claims about the Platform, its services, or potential earnings.
• No Spam: You may not send unsolicited bulk messages, spam, or use automated systems to distribute referral links. Referrals must be made through personal, genuine recommendations.
• No Self-Referrals: You may not refer yourself or create multiple accounts to earn ZT Promotional Credits.
• No Paid Advertising Without Approval: You may not use paid advertising (Google Ads, Facebook Ads, etc.) to promote your referral link without prior written approval from ZT Pros.
• Compliance: You must comply with all applicable laws, including the CAN-SPAM Act, TCPA, and any state-specific regulations regarding referral programs and commercial communications.
• Platform Language: When promoting ZT Pros, you must use language consistent with our platform model. You must not state or imply that ZT Pros performs home services, employs contractors, or guarantees work quality. Use language such as "connects you with qualified, state-compliant contractors" rather than "provides home services."

6. Fraud and Abuse

ZT Pros reserves the right to investigate and take action against any suspected fraud or abuse of the Program, including but not limited to:

• Creating fake accounts or referrals
• Using automated systems to generate referrals
• Colluding with referred parties to manipulate the Program
• Misrepresenting ZT Pros or its services
• Any other activity that ZT Pros deems to be fraudulent or abusive

If ZT Pros determines that you have engaged in fraud or abuse, we may, at our sole discretion: revoke pending and earned credits, suspend or terminate your account, and pursue legal remedies.

7. Program Modifications and Termination

ZT Pros reserves the right to modify, suspend, or terminate the Program at any time, with or without notice. Changes may include modifications to credit amounts, qualifying criteria, program rules, or the complete discontinuation of the Program. Credits earned before any modification will be honored, subject to these Program Terms.

8. Limitation of Liability

ZT PROS'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE PROGRAM SHALL NOT EXCEED THE TOTAL REFERRAL REWARDS EARNED BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. ZT PROS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION IN THE PROGRAM.

9. Governing Law

These Program Terms are governed by the laws of the State of Wyoming. Any disputes arising from the Program are subject to the dispute resolution provisions in our Terms of Service.
