ZT PROS COMMAND CENTER

1. Introduction and Scope

This Client Service Agreement ("Agreement") governs your use of the ZT Pros platform (the "Platform") as a customer seeking home and other services. By submitting a service request, accepting a quote, or otherwise using the Platform to connect with a Service Provider, you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy.

IMPORTANT: ZT Pros is a technology platform that connects you with independent, state-compliant service professionals ("Service Providers"). ZT Pros does not perform, supervise, guarantee, or control any home improvement, construction, repair, maintenance, or other work. When you hire a Service Provider through the Platform, you are entering into a direct contractual relationship with that Service Provider — not with ZT Pros. You are hiring the contractor directly — not ZT Pros.

2. How the Platform Works for Clients

When you use the Platform to find a Service Provider, the process works as follows:

Describe Your Project: You provide details about the service you need, including your property address, the type of work, photos of the work to be done, and any relevant details. Photos help our AI generate more accurate estimates and allow contractors to better assess the scope of work before providing their quote. You may interact with our AI-powered chatbot to describe your needs.
Receive an Estimate: The Platform generates an AI-powered estimated price range based on property data, historical job data, and market conditions. This estimate is for informational purposes only and is not a binding quote, offer, or guarantee of price.
ZT Smart Match™: The Platform's AI-powered ZT Smart Match system matches you with a primary qualified, state-compliant Service Provider who is available and meets the compliance requirements for your type of project. If you'd like to compare options, you may request up to two additional matches (3 total). ZT Smart Match is a referral — not an endorsement, recommendation, or guarantee of any Service Provider.
Receive a Contractor Quote: Your matched Service Provider(s) review your project details and photos and provide their own independent quote. This quote may differ from the Platform's AI estimate. The Service Provider's quote is the binding price, subject to any adjustments after on-site inspection.
Accept or Decline: You review the Service Provider's quote, credentials, and ratings. You are free to accept or decline at your sole discretion. There is no obligation to hire any Service Provider.
Direct Engagement: If you accept, you enter into a direct agreement with the Service Provider. The Service Provider performs the work. You pay the Service Provider directly.

3. Your Relationship with the Service Provider

When you accept a Service Provider's quote and authorize work, you are entering into a direct contractual relationship with that Service Provider. You acknowledge and agree that:

Direct Contract: Your agreement is with the Service Provider, not with ZT Pros. ZT Pros is not a party to any contract between you and a Service Provider.
Service Provider Responsibility: The Service Provider is solely responsible for the quality, safety, timeliness, and legality of all work performed. The Service Provider carries their own insurance, licenses, and warranties.
Payment: You pay the Service Provider directly for all services rendered. ZT Pros does not collect, hold, or process your payment for services. Your payment goes directly to the contractor — never through ZT Pros.
Warranties: Any warranties or guarantees on workmanship are provided by the Service Provider under their own business terms — not by ZT Pros. Ask your Service Provider about their warranty policy before authorizing work.
Disputes: Any disputes about the quality, scope, completion, or cost of work are between you and the Service Provider. See our Dispute Resolution Policy for information about how ZT Pros may assist.

4. What ZT Pros Provides

ZT Pros provides the following technology services to you as a client:

AI-powered estimated price ranges for informational purposes
ZT Smart Match™ — AI-powered matching with qualified, state-compliant Service Providers
Technology-based verification of Service Provider credentials (licenses, insurance, bonding as required by state)
A secure communication channel between you and your matched Service Provider (all job-related communications should go through the Platform for transparency and dispute resolution support)
Job status tracking and notifications via SMS and email
A review and rating system to share your experience
Courtesy mediation assistance for disputes (at our sole discretion)

5. What ZT Pros Does NOT Provide

ZT Pros does NOT:

Perform, supervise, or control any construction, repair, or home improvement work
Employ, direct, or manage any Service Provider
Guarantee the quality, safety, timeliness, or outcome of any work performed
Provide any warranty or guarantee on workmanship or materials
Set, approve, or negotiate final prices between you and a Service Provider
Guarantee the accuracy of AI-generated price estimates
Guarantee the accuracy, completeness, or currency of Service Provider credentials
Act as your agent, representative, or advocate in any dispute with a Service Provider
Provide legal, financial, construction, or professional advice of any kind
Insure you against any loss, damage, or injury arising from work performed by a Service Provider

6. Your Responsibilities

As a client using the Platform, you agree to:

Provide accurate and complete information about your project and property
Independently verify the Service Provider's credentials, references, and qualifications before authorizing work
Obtain a written quote from the Service Provider before authorizing work
Ensure that any required permits are obtained (either by you or the Service Provider, as agreed)
Provide safe access to the work site
Pay the Service Provider promptly for completed work as agreed
Communicate honestly and professionally with Service Providers
Leave honest and accurate reviews of your experience

7. Payment

All payments for services are made directly between you and the Service Provider. ZT Pros does not collect, hold, process, or manage your payment for services in any way. You and the Service Provider agree on the final price and payment terms directly. ZT Pros's only financial transaction is the referral fee it collects from the Service Provider after job completion — this does not affect the price you pay.

You pay the Service Provider directly for all work performed
Payment terms (timing, method, deposits) are between you and the Service Provider
ZT Pros never holds, processes, or touches your service payment
If you have ZT Pros Promotional Credits, they are applied by ZT Pros separately and do not affect your payment to the Service Provider

8. AI-Generated Content Disclaimer

The Platform uses artificial intelligence to provide price estimates, chatbot interactions, contractor recommendations, and other content. You acknowledge and agree that:

AI-generated content is provided for informational and convenience purposes only
AI-generated price estimates are not binding quotes and may differ significantly from the Service Provider's actual price
AI systems may produce inaccurate, incomplete, or misleading information
You should not rely solely on AI-generated content when making decisions about services
Always obtain a written quote directly from the Service Provider before authorizing work

9. Communications Consent

By using the Platform and providing your contact information, you consent to receive:

Automated SMS text messages regarding job status, contractor matching, and payment confirmations
Email notifications about your service requests and account
Review and feedback requests after job completion

You may opt out of SMS communications at any time by replying STOP. You may opt out of email communications by clicking the unsubscribe link in any email. Standard message and data rates may apply.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZT PROS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO ANY WORK PERFORMED OR NOT PERFORMED BY A SERVICE PROVIDER, INCLUDING BUT NOT LIMITED TO PROPERTY DAMAGE, PERSONAL INJURY, DEATH, FINANCIAL LOSS, OR ANY OTHER DAMAGES OF ANY KIND.

ZT PROS'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE PLATFORM SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, IN SUCH JURISDICTIONS ZT PROS'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless ZT Pros, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your interactions with Service Providers, your violation of this Agreement, or your violation of any applicable law.

12. Dispute Resolution

Disputes between you and ZT Pros are subject to the dispute resolution and arbitration provisions in our Terms of Service. Disputes between you and a Service Provider are governed by your direct agreement with that Service Provider. ZT Pros may offer courtesy mediation as described in our Dispute Resolution Policy, but is not obligated to do so.

13. Modifications

ZT Pros may modify this Agreement at any time by posting the updated version on the Platform. Your continued use of the Platform after any modification constitutes acceptance of the updated Agreement.
